1. Introduction

These Terms of Service ("Terms") govern your access to and use of Sicada AI, a voice automation and AI-powered conversational platform operated by EDYSOR EDUTECH SOLUTIONS PRIVATE LIMITED ("Edysor," "Company," "we," "us," or "our").

By accessing or using Sicada AI, including any website, application, dashboard, API, or related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Services.

Company Information

Eligibility and Authority

• You must be at least 18 years old to use the Services.
• If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

Description of Services

Sicada AI provides AI-driven voice automation services, including but not limited to:

• Automated voice calls and AI voice bots
• Speech-to-text and text-to-speech processing
• Voice cloning capabilities
• Call scripts, workflows, and analytics
• APIs and integrations with third-party telephony providers and business systems

Sicada AI does not provide telephony or carrier services. All calls are executed via third-party telephony providers selected and managed by the client.

We may modify, suspend, or discontinue any part of the Services at any time using commercially reasonable efforts, without guaranteeing uninterrupted availability.

Account Registration and Security

To access certain features, you must create an account.

You agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your login credentials
• Be responsible for all activities conducted through your account

You must notify us immediately of any unauthorized use or security breach.

6. Subscriptions, Billing, and Payments

6.1 Pricing and Plans

6.2 Auto-Renewal

All paid subscriptions automatically renew unless cancelled before the renewal date. By subscribing, you authorize us to charge your selected payment method on a recurring basis.

6.3 No Free Trial

Sicada AI does not offer free trials unless explicitly stated in writing.

6.4 No Refund Policy

All fees are non-refundable, including subscription fees, usage-based charges, and prepaid credits. No refunds are provided for partial usage, cancellations, or unused periods.

7. AI Use and Disclaimer

Sicada AI uses artificial intelligence technologies that may generate automated outputs.

You acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, or biased
• AI outputs are not legal, medical, financial, or professional advice
• You are solely responsible for verifying AI-generated information before relying on it

Edysor makes no guarantees regarding the accuracy, reliability, or suitability of AI outputs.

8. Voice Calls, Recording, and Telephony Responsibility

8.1 Call Recording

Call recording is enabled by default within the platform. You are solely responsible for:

• Informing call recipients
• Obtaining all legally required consents
• Complying with applicable call recording laws in all jurisdictions

8.2 Telephony Compliance

Sicada AI only provides telephony integrations. You are solely responsible for:

• Selecting and managing telephony providers
• Compliance with TRAI, DLT, TCPA, FCC, or other applicable telecommunication laws
• Maintaining do-not-call and opt-out compliance
• Carrier policies and regional telephony regulations

9. Voice Cloning Consent Requirements

Voice cloning is permitted only if you have obtained explicit written consent from the voice owner.

You agree that:

• You will obtain and retain written consent from the voice owner
• You will store proof of consent and provide it upon request
• You will not clone voices without lawful authorization

Edysor reserves the right to suspend or terminate voice cloning features if misuse or lack of consent is suspected.

10. Acceptable Use

You agree not to use the Services to:

• Impersonate individuals without consent
• Conduct fraud, scams, or deceptive practices
• Bypass consent, opt-out, or do-not-call requirements
• Transmit spam, harassment, or misleading communications
• Upload unlawful or unauthorized data
• Interfere with platform security or infrastructure

11. Prohibited Activities and Industries

You may not use Sicada AI for:

• Illegal drugs or controlled substances
• Weapons, explosives, or arms trading
• Illegal gambling or betting
• Adult or sexually explicit services
• Human trafficking or forced labor
• Money laundering or financial fraud
• Identity theft or impersonation scams
• Counterfeit goods or documents
• Pyramid schemes or Ponzi schemes
• Any activity illegal under applicable law

Violations may result in immediate suspension or termination without refund.

12. User Content

• You retain ownership of content you upload or generate using the Services.
• You grant Edysor a non-exclusive, worldwide, royalty-free license to store, process, and display such content solely for providing and improving the Services.
• You are solely responsible for ensuring your content does not violate laws or third-party rights.

13. Intellectual Property

• All platform software, AI models, interfaces, logos, trademarks, and documentation are the exclusive property of Edysor or its licensors.
• You may not copy, modify, reverse engineer, or exploit any part of the Services without written permission.
• Any feedback you provide may be used by Edysor without obligation or compensation.

14. Third-Party Services

Sicada AI integrates with third-party platforms and services. We are not responsible for third-party service availability, policies, or compliance.

Your use of third-party services is governed solely by their terms.

15. Disclaimer of Warranties

• The Services are provided "as is" and "as available".
• We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee uninterrupted, secure, or error-free operation.

16. Limitation of Liability

To the maximum extent permitted by law:

• Edysor is not liable for indirect, incidental, or consequential damages
• Edysor is not liable for AI inaccuracies or misuse
• Total liability shall not exceed the fees paid by you in the preceding three months

17. Indemnification

You agree to indemnify and hold harmless Edysor, its directors, officers, employees, and affiliates from claims arising from:

• Your misuse of the Services
• Lack of required consent
• Regulatory or legal violations
• Third-party claims related to your content or activities

18. Suspension and Termination

Edysor may suspend or terminate your access at its sole discretion for violations, suspected misuse, or legal risk.

Upon termination:

• Your access ends immediately
• Fees are not refunded
• Certain clauses survive termination

19. Governing Law and Jurisdiction

• These Terms are governed by the laws of India.
• All disputes shall be subject to the exclusive jurisdiction of courts in Udaipur, Rajasthan.

20. Force Majeure

Edysor is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

21. Support Availability

Support is available Monday to Saturday, 10:00 AM to 7:00 PM IST, excluding public holidays.

22. Miscellaneous

• These Terms constitute the entire agreement
• If any provision is invalid, the rest remain enforceable
• No waiver unless in writing
• You may not assign these Terms without consent
